Membership Terms

ICMS TERMS AND CONDITIONS FOR PROFESSIONAL MEMBERSHIP

These Terms and Conditions (the “Terms”) govern the Member’s association with, access to, and use of, ICMS resources.  ICMS shall post these Terms on its website (www.cellmedicinesociety.org) for all Members to review.

These Terms are binding to the Member upon the acceptance of the Member’s application of membership by the ICMS and remain binding during the term of its membership in ICMS.

1.         Conformance with ICMS Standards. At all times, the Member shall conform to the standards, policies and practices of ICMS as may be promulgated by ICMS from time to time.  The promulgated standards, policies and practices of ICMS, as modified, amended, revised, or amplified from time to time (the “ICMS Standards”), are herein incorporated in these Terms by reference and made part hereof as though set forth in full in these Terms.

2.         Compliance with Laws and Regulations. In furtherance of its ICMS Membership, Member shall comply with all applicable laws, rules and regulations, and, do everything in their power to ensure that its respective activities are in compliance with the rules of any accrediting or regulatory body, agency or authority having jurisdiction over ICMS matters.

3.         Payment of Fees. The Member agrees to promptly remit all fees required for membership (”Membership Fees”) due to ICMS.

4.         Term of Membership. Membership fees paid to the ICMS shall be for 12 calendar months commencing on the first day of the month following the acceptance of the membership application and payment of membership fees.

5.         Termination.

(a)       By Any Party.

(i)         Breach. The Membership Agreement may be terminated immediately by any Party with written notice to the other Party upon breach of this Agreement by another Party, with such breach continuing for ten (10) days after written notice to the non‑breaching Party stating the specific default or breach; provided, however, that if the default is not susceptible of cure within said ten (10) day period, then the breaching Party shall have ninety (90) days to cure such breach provided that the breaching Party commences action to cure said breach within the ten (10) day notice period and continues diligently to cure the breach.

(ii)        By Notice.  The Membership Agreement may be terminated by a Member with written notice to ICMS upon the promulgation of a notice by ICMS to modify these Terms.  Such written notice of termination to ICMS must be received by ICMS on or before the effective date of such modifications to the Terms.

(b)       Termination By ICMS.         ICMS may terminate the Membership Agreement of a Member, without notice to Member, upon:

(i)         termination of Member’s membership in ICMS;

(ii)        Member’s failure to adhere to the ICMS Standards in effect from time to time;

(iii)       for "Cause," as herein defined;

(A)       such termination for Cause shall be effective immediately upon the giving of written notice of such termination to Member or as of a later date stated in such notice;

(B)       in the event that ICMS terminates the Membership Agreement for Cause, the Membership Agreement shall terminate without further obligation by ICMS or the Member;

(C)       for purposes of these Terms, "Cause" shall include:

(r)        suspension or revocation of Member's medical license, specialty board certification, registration or any other certificate or license which ICMS deems necessary or appropriate for Member's performance of duties hereunder;

(s)        the plea of guilty or nolo contendere to, or conviction for, the commission of a felony offense by Member;

(t)         Member's violation of the Code of Medical Ethics;

(u)       termination of Member's professional liability coverage and inability to obtain substitute coverage;

(v)        Member's having committed any actions or inactions which pose a threat to the health or safety of patients;

(w)       Member's engaging in fraud, embezzlement, or the like;

(x)        Member's material breach of any Sections of these Terms; and

(y)        Member's death or disability (defined herein as Member's incapacity due to physical or mental illness, resulting in Member being absent from the performance of his duties under the Licensed Use for a period of four (4) consecutive months.

(c)        Refund of Membership Fees.  The Parties agree that, in the event of termination of this Agreement, Member shall not be entitled to any refund of membership fees, and shall remain liable to pay to the ICMS all amounts owed to the ICMS which have accrued prior to such termination.

6.         Breach; Failure to Comply with ICMS Standards. In addition to any other remedies provided herein, in the event of a breach of any provision of these Terms, ICMS reserves the right immediately to suspend the membership of the Member in ICMS and to publicize the breach to Members as well as to licensing and regulatory bodies and authorities, and to public media sources.

7.         Conflict; Controlling Language. In the event of any conflict between these Terms and the terms and conditions of any specific ICMS Agreement, the terms and conditions of such specific ICMS Agreement shall control.

8.         Modifications. ICMS may modify these Terms at any time and at its sole discretion.  Each Member shall be notified of the proposed modification(s) thirty (30) days in advance of their taking effect.  Such modifications shall be effective upon posting of the modified terms and conditions on the ICMS website, which posting shall not take place before proper notice has been given.

9.       Miscellaneous. These Terms along with the ICMS Membership Agreement and ICMS Agreements entered into by the Member constitute the entire agreement among the parties with respect to the matters contained herein.  They supersede any prior agreement or understandings among them with respect to the matters contained herein.  Any term or provision of these Terms which is invalid or unenforceable in any jurisdiction shall, as to that jurisdiction, be ineffective to the extent of such invalidity or unenforceability without impairing the right of each party to enjoy the essential, material considerations contemplated by these Terms, rendering invalid or unenforceable the remaining terms and provisions of this Agreement, or affecting the validity or enforceability of any of these Terms in any other jurisdiction.  If any provision of these Terms is so broad as to be unenforceable, the provision shall be interpreted to be only so broad as is enforceable.

The ICMS has been fighting tirelessly for the rights of physicians, researchers and patients. We started as a handful of doctors who were intent on protecting the practice of medicine, and we have grown into a major international society that is consistently delivering on this mission. Join us and define the future of cell based medicine.

Over the last three years the ICMS has:

  • Worked collaboratively with Congress, the Senate and the White House to define adult stem cell therapies as the practice of medicine,
  • Launched a Treatment Registry to track the outcome of stem cell therapies and grew it to over 1,200 patients,
  • Established collaborative relationships with regulatory agencies, ministries of health and other governmental organizations in Central· and South America, Asia and Europe,
  • Hosted three successful International Congresses,
  • Set up national chapters of the ICMS in Latin America, Europe and Asia, and
  • Produced the first ever set of guidelines for the practice of cell based medicine.

No other group has done more to protect a physician’s right to practice stem cell and regenerative medicine. We have done this work because we believe in the right of the physician to drive medical innovation. And our work continues.

The ICMS is pleased to announce our transition to a paid Professional Membership structure for physicians and researchers. As of July 1st, this new membership will allow individuals involved in cell base medicine and research to take a more active role in the ICMS and in the future of our field.

ICMS membership is open to those who have embraced the need for standards, transparency and peer oversight to deliver the promise of cell based medicine. By completing the application for membership, you are confirming that you are willing to abide by the professional standards espoused in the guidelines documents for the practice of cell based medicine.

 

ICMS Professional Membership

Application for professional membership is open to any person with a medical degree, an advanced or doctoral degree in science who is: 1) engaged in the field of adult stem cell medicine, cell based medicine or adult stem cell research; 2) professionally interested in advancing the field; and 3) agrees to conform to the guidelines and standards of the ICMS.

Open Letter to Stem Cell Clinics

Dear Clinic,

We are calling on all stem cell clinics worldwide to join the ICMS, come into compliance with the best practices guidelines for the collection, processing and implantation of adult stem cells and actively participate in the treatment registries. We are calling on all clinics worldwide to make a clear statement that they are dedicated to patient safety and to the transparency of their clinical practices by joining the ICMS and allowing the ICMS to track the outcomes and complications of patient treatments.

This call for transparency and the adoption of global standards comes at a critical time. The continued existence of stem cell therapy as the practice of medicine is in peril.  There are some significant entrenched interests that are working hard to discredit the field of regenerative medicine and the use of stem cells. Sadly, it appears that these individuals have attempted to achieve this goal by co-opting the mission of scientific organization whose goal, like the ICMS, is to promote professional and public education of stem cells.

A one sided media campaign that appears to be funded by bio-pharma and driven by a high powered public relations agency, has garnered immense public attention. Backed by entrenched interests and supported by a vocal minority of a major industry group their message of “exposing” stem cell clinics continues to dominate the media.  On July 26, National Public Radio did a piece on foreign stem cell clinics selling hope rather than science.  A few months ago, 60 minutes ran a segment that called stem cell therapy the 21st century “snake oil.” While many of the therapies highlighted are “snake oil”, the concern is that this broad brush is being applied to all stem cell clinics. The terms that are being used to describe stem cell clinics in these articles range from “rouge” to “predator.”

It appears now that no clinic, regardless of its location, is now safe from the accusation of providing ‘untested and unproven’ treatments. Failure to address these allegations through clinical transparency, peer oversight and a renewed dedication to patient safety will result in clinic closures and the end of cell based physician driven medical innovation.

We believe that the people behind these attacks do not speak for patients or physicians.  They are motivated not by medical discovery but by their own self interest. Their voice is that of entrenched interests that seek to deny the patient access to therapies to either perpetuate continued and redundant basic research or to create stem cell based drugs that can be manufactured and sold to a global market.

We need to expose these interests for who they are, and refute their claims with independently collected patient data. It is only through this level of transparency that we can evidence that stem cells, while they remain investigational, “hold tremendous promise for the development of novel therapies for many serious diseases and injuries”

We believe these voices belong to a vocal few whose crusade is corrupting the mission and goals of the International Society for Stem Cell Research.  We respect the educational mission of the ISSCR and value the scientific research that its members have advanced. Indeed, many members of the ICMS also belong to the ISSCR and believe that their association with both groups is complementary and in the interest to advancing science and medicine.

What we take issue with is a very vocal element within this organization whose goal has been stated, in word and deed,  not only to close down stem cell clinics, but also to change the laws in countries to outlaw these therapies and deny patients access to these medical treatments.

The ICMS cannot stand idle and allow entrenched interests to discredit all stem cell therapies.  In order to halt these vicious attacks, we believe that a set of international standards are needed to ensure patient safety and to help this field develop in the direction of responsible medical practice.  We believe that these medical standards need to be developed by physicians, reviewed by academic researchers and crafted to protect patient safety. As a global nonprofit dedicated to patient safety and physician education on the medical use of adult stem cells, we believe that the ICMS is the only credible organization to produce and enforce these standards.
